Welcome to Klinicly 360 ("Klinicly," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of our website, mobile applications, and services, including Klinicly e-Prescribe, Klinicly e-Learn, and Klinicly API services (collectively, the "Platform").

By accessing or using Klinicly 360, you agree to these Terms. If you do not agree, please discontinue use immediately.

1. Eligibility

  • You must be at least 18 years old and legally permitted to enter into these Terms.
  • Healthcare professionals using e-Prescribe must be duly licensed in their respective jurisdiction.
  • Organizations using API Services must have appropriate authorization.

2. Services We Provide

a) Klinicly e-Prescribe

  • A digital prescription tool for licensed healthcare providers.
  • You are solely responsible for ensuring prescriptions comply with applicable medical, pharmaceutical, and legal standards.
  • Klinicly does not verify or endorse prescriptions; liability rests with the prescribing professional.

b) Klinicly e-Learn

  • A learning management system for healthcare professionals and related organizations.
  • Tutors and professional bodies may upload courses, CME/CPD-accredited programs, or events.
  • Learners are responsible for verifying accreditation relevance with their professional licensing bodies.

c) Klinicly API Services

  • APIs that allow authorized partners to integrate Klinicly solutions into their systems.
  • Access keys, documentation, and usage limits will be provided subject to separate licensing agreements.

3. Account Registration

  • You must create an account to access certain features.
  • You agree to provide accurate, complete information and update it as needed.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must notify us immediately if you suspect unauthorized use of your account.

4. User Responsibilities

By using Klinicly 360, you agree to:

  • Use the Platform only for lawful and professional purposes.
  • Comply with all applicable healthcare, pharmaceutical, educational, and data protection laws.
  • Not misuse the Platform (e.g., uploading false data, violating copyright, spreading malware, or attempting to hack the system).
  • Ensure uploaded course content or prescriptions are accurate and compliant with ethical and legal standards.

5. Payments and Fees

  • Certain features (e.g., courses, subscriptions, API usage) may require payment.
  • Fees will be disclosed before purchase.
  • Payments are processed securely via third-party providers. Klinicly does not store full payment details.
  • All purchases are final except where required by law.

6. Intellectual Property

  • All content, software, and materials on the Platform are owned by Klinicly or licensed to us.
  • You may not copy, distribute, or modify our intellectual property without written consent.
  • Course materials uploaded by tutors remain their intellectual property, but by uploading, they grant Klinicly a license to host, display, and distribute the content on the Platform.

7. Third-Party Content and Services

  • Klinicly 360 may display or link to third-party events, sponsors, and service providers.
  • We are not responsible for third-party content or services.
  • Use of such services is at your own risk.

8. Data Protection & Privacy

  • Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and safeguard your data.
  • By using Klinicly, you consent to data practices described in the Privacy Policy.

9. Disclaimers

  • Klinicly 360 provides services "as is" and "as available."
  • We make no warranties regarding accuracy, reliability, or uninterrupted availability.
  • e-Prescribe content is provided solely by healthcare professionals; Klinicly is not responsible for medical errors, malpractice, or regulatory violations.
  • e-Learn course accreditation is the responsibility of the issuing tutor or professional body.

10. Limitation of Liability

To the fullest extent permitted by law:

  • Klinicly shall not be liable for indirect, incidental, or consequential damages.
  • Our maximum liability to you shall not exceed the total amount paid to Klinicly in the 12 months preceding the claim.

11. Suspension and Termination

We may suspend or terminate your account if you:

  • Violate these Terms.
  • Engage in unlawful or fraudulent activities.
  • Misuse the Platform in a way that threatens its integrity or other users. You may close your account at any time by contacting us.

12. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
  • Disputes shall be resolved through negotiation, and if unresolved, referred to arbitration in Lagos, Nigeria, under the Arbitration and Conciliation Act.

13. Changes to Terms

  • We may update these Terms periodically. Changes take effect when posted on the Platform.
  • Continued use constitutes acceptance.
